1. The Chairman shall be appointed by the Board.
2. It is the responsibility of the Chairman to:-
i) Run the Board and set its agenda, taking into account the concerns of all Board members;
ii) Ensure that Board members receive accurate, timely and clear information, in particular about the Company’s performance, to enable the Board to carry out its duties effectively;
iii) Ensure that sufficient time is allowed for discussion of complex or contentious issues;
iv) Ensure constructive relations between executive and non-executive directors;
v) Develop a relationship of trust with the Chief Executive, such that he provides support and advice while respecting executive responsibility;
vi) Ensure that Board decisions are effectively implemented;
vii) Promote the highest standards of corporate governance and business ethics throughout the Group;
viii) Ensure effective communication with shareholders;
ix) Take the lead in identifying and meeting the training and development needs of members of the Board, including the induction of new directors;
x) Ensure that the performance of individual directors, of the Board as a whole and of its committees is evaluated on an ongoing basis.
