1. The Chief Executive shall be appointed by the Board.

2. The Chief Executive is responsible for the overall management of the business of the Company and of the Group as a whole.

3. The Chief Executive shall:-

i) Devote substantially the whole of his time and his attention and skill to the duties of his office;

ii) At all times use his best endeavours to promote the interests of the Company and of the Group as a whole;

iii) Faithfully and diligently perform such duties and exercise such powers, consistent with the office to which he is appointed, as may from time to time be assigned or vested in him by the Board;

iv) Obey the reasonable and lawful directions of the Board of Directors of the Company;

v) At all times keep the Board and the Chairman promptly and fully informed by his conduct of the business and affairs of the Company and of the Group as a whole and provide such explanations as the Board or the Chairman may require in connection therewith.
